1. Acceptance of Terms
By accessing or using our website, products, or services, you (“User,” “Client,” or “You”) agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.
2. Scope of Services
Wynter Systems provides AI-powered outreach automation and lead generation services for B2B companies. Our services may include:
Job Listing Monitoring – Scraping LinkedIn, Indeed, and other public sources to identify job opportunities that match the client’s Ideal Customer Profile (ICP).
Lead Qualification – Filtering and enriching job data to surface relevant opportunities.
Decision-Maker Identification – Locating and validating key contact information.
Personalized Outreach Generation – AI-generated messages for email or LinkedIn based on company and role context.
Automated Campaign Execution – Email outreach campaigns designed to book discovery or sales calls.
📌 These services are designed exclusively for B2B marketing and prospecting and do not involve handling of sensitive or regulated data.
3. Client Responsibilities
By using our services, the Client agrees to:
Provide accurate information necessary for campaign setup and targeting.
Review and approve message templates or personalized outreach prior to launch.
Ensure their outreach campaigns comply with applicable data privacy and anti-spam laws (e.g., GDPR, CAN-SPAM, PECR).
Indemnify and hold Wynter Systems harmless from legal claims or liabilities arising from misuse or non-compliant practices.
4. Data Privacy Compliance
We comply with the General Data Protection Regulation (GDPR) when processing the personal data of EU residents.
We only process minimal B2B contact data (e.g., names, emails, job titles, company info) for outreach purposes.
Clients must confirm that their outreach has a lawful basis under applicable data protection laws.
We do not process sensitive personal data (e.g., health records, financial data, government IDs).
5. Payments & Fees
One-Time Setup Fee: Due upfront and non-refundable once work begins.
Monthly Management Fee (if applicable): Recurring charge for campaign oversight, message iteration, and system optimization.
Payment Terms: All invoices must be paid within 7 days. Late payments may result in service suspension or termination.
6. Cancellations & Refunds
Setup fees are non-refundable once work has started.
Monthly services can be cancelled with 30 days’ notice prior to the next billing cycle.
No refunds are issued for partial months or unused portions of service.
7. Intellectual Property Rights
All custom scripts, templates, automation workflows, and creative assets developed by Wynter Systems remain our intellectual property.
Clients receive a non-exclusive, non-transferable license to use outreach content created for their campaigns.
Unauthorized reuse, distribution, or reverse-engineering of our technology or content is strictly prohibited.
8. Confidentiality
Both parties agree to keep all shared information confidential.
This includes (but is not limited to) business processes, strategies, lead data, proprietary tools, and client lists.
Confidentiality obligations survive termination of service.
9. Limitation of Liability
Wynter Systems is not liable for:
❌ Any damages, revenue loss, or downtime resulting from use of the service.
❌ Any regulatory, compliance, or deliverability issues stemming from misuse of the system.
❌ Any errors or inaccuracies in scraped data or AI-generated content.
❌ Actions taken by third-party platforms (e.g., account bans or restrictions).
10. Indemnification
The Client agrees to indemnify and hold Wynter Systems harmless from any:
Legal actions, claims, or penalties resulting from the Client’s use or misuse of the services.
Breaches of GDPR, CAN-SPAM, or any data privacy or anti-spam laws.
Third-party claims related to campaign content or outreach practices.
11. Third-Party Services
Our services may integrate with or rely on third-party platforms (e.g., Apollo.io, Make.com, Google Sheets, email service providers).
We are not responsible for the reliability, policies, or performance of third-party platforms.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of the United Kingdom.
Any disputes shall be resolved through binding arbitration in the UK, unless prohibited by law.
13. Updates to These Terms
We may modify these Terms and Conditions at any time.
Significant changes will be posted on our website or communicated via email.
